歡迎您使用””幫拖””應用程式(下稱””本 APP””)。本 APP 由[幫拖軟體科技有限公司](下稱””本公司””、””我們””、””Aider””)提供。本《服務協定》(下稱””本協定””)是您(下稱””用戶””、””您””)與本公司之間具有法律約束力的協議,規定了您使用本 APP 及其相關服務(下稱””本服務””)的條款。
在使用本 APP 前,您必須同意並接受本協議的所有條款。如您不同意本協定的任何內容,請立即停止使用本 APP。
若您在閱讀本協議後並完成註冊,即表示:
• 已閱讀並瞭解使用條款
• 會遵守服務協定
• 會遵守Aider程式中的所有規範
• 已達到居住地的法定成年年齡,並具有簽訂合約的法律能力
本條款中,「您」或「您的」指所有進入或使用平臺的個人及法人,包括但不限於經由代表或員工註冊或以其他方式進入或使用平臺的任何組織 (「使用者」)。
本條款中,「法律」是指所有規範支付與所有依本條款提供之服務的香港法律、規則和條例 我們保留隨時修訂本條款的權利。
如果我們做出修訂,我們將透過修改本條款上方的日期通知您,在某些情況下,我們將提供您額外的通知 (例如在我們的主頁上新增聲明或發送電子郵件通知)。我們建議您定期查看本條款並持續瞭解我們的作法。除非我們另行通知,否則在我們修訂條款時,修訂後的條款一經發佈立即生效。若您在修訂後的條款發佈後繼續進入或使用平臺,即表示您已接受修訂後的條款。
1. 定義
• “”老闆””:指通過本 APP 發佈任務並願意支付報酬以換取服務的使用者。
• “”承包商””:指通過本 APP 接受並完成任務以獲取報酬的用戶。
• “”任務””:指由老闆通過本 APP 發佈的具體任務或需求。
• “”報酬””:指老闆為任務或需求完成而同意支付給承包商的金額。
2. 帳戶註冊與資格
• 您必須年滿 18 歲並具有訂立具法律約束力合約的充分法律能力,方可使用本 APP。
• 您需提供準確、真實、最新及完整的資料進行註冊。
• 您有責任對您的帳戶和密碼或協力廠商平臺(例如Google , Apple ID 等)的帳戶和密碼保密,並對您帳戶下發生的所有活動承擔全部責任。
• 註冊成為承包商時,必須提供本人香港身份證明檔,以及于承接任務時,必須確保本人具備香港法律法規下之要求,包括但不限定於香港入境處之工作簽證或許可。
• 您所註冊之帳戶(帳號),只限您個人使用。將您的帳號轉移給他人或其他法律實體是不被允許的;
• 除了您自己的帳號,您不能使用任何人名下的帳號;
• 您只能登記一個帳號。
3. 服務性質
• 本 APP 僅作為一個中立的線上平臺,為老闆和承包商提供聯繫與溝通的便利。
• 本公司並非老闆或承包商的雇主、雇員、代理人或合作夥伴。 老闆與承包商之間是直接的服務合約關係。
• 本公司不控制、管理或指導任何協力廠商供應商。
• 本公司不對任務的品質、安全性、合法性或準確性作出任何保證,亦不參與雙方之間的具體交易糾紛,但會提供爭議解決方案協助處理。
• 本 APP 不控制、認可或承擔任何授權內容或服務中之協力廠商內容的責任。Aider不能也不表示或保證服務或伺服器沒有病毒或其他有害零件。 服務按“現狀”和“現有”提供。本公司對服務或因使用服務請求的其他任何服務之可靠性、即時性、品質、適用性或可用性不作任何陳述或保證,也不保證服務不會中斷或沒有錯誤。
4. 用戶義務與行為準則 為了使用服務,您必須向Aider註冊一個個人帳號(「帳號」)。註冊帳號時,在Aider私隱條例的指引下,您有義務直接或間接提供您的個人資料,包含姓名及聯絡資訊於Aider。
當您成功對Aider提交您的帳號登記,Aider會將帳號提供給您,您可透過自行設定的密碼使用帳號。服務或平臺可能因您的年齡受您居住地的法律規範限制,如有這樣的情形,您必須遵守年齡限制,停止使用服務或平臺。
您同意由您輸入及更新的資訊是準確、完整,而且有效的。Aider對任何您提供的虛假、不完整、過時,或不正確資訊不負任何法律責任。若您未能輸入或更新資訊,使資訊不準確、不完備或不有效,可能會使您無法進入及使用服務。您須要對任何在您帳號名下發生的活動負責。Aider有權隨時驗證您提供的資訊,並在不提供理由和事先通知的情況下拒絕您使用服務。
無論老闆或承辦商,亦承諾不會經由平臺之外的管道直接或間接相互接觸;
任何人使用服務時,不得從事任何威脅、騷擾、歧視(基於種族、性別、年齡、身心障礙或任何其他形式)或任何其他 Aider 認為不適當的行為;
• 老闆承諾:
o 發佈的任務內容必須合法、安全、明確,且不涉及任何違反香港法律或公序良俗的行為(如非法運送物品、危險工作、色情服務或對他人造成危險等)。
o 需準確描述任務詳情、時間、地點及報酬。
o 在承包商完成任務後,應及時確認並支付約定的報酬。 • 承包商承諾:
o 具備完成任務所需的相應技能、資格及體能。
o 應以專業、勤勉的態度提供服務。
o 不得要求老闆支付協議報酬以外的款項。
• 所有用戶均:
o 不得發佈虛假、欺詐、騷擾性或侵犯他人權利的資訊。
o 不得試圖繞過本 APP 的平臺進行私下交易以逃避費用。
o 不得從事任何可能損害、癱瘓或過度負載本 APP 基礎設施的行為。
您不得使用任何「深連結」、「頁面抓取」、「機器人」、「網路爬蟲」或其他種類的自動設備、程式、演算法與方法,或任何類似或具相同效果的手動方式來存取、獲取、複製 或監控平臺的任何部分及內容,或以任何方式重現或規避平臺或任何內容的流覽結構與呈現方式,經由非平臺主動提供的方式以外獲取或試圖獲取任何材料、檔或訊息。Aider 保留禁止此類活動的權利;
您不得試圖干擾、損害系統完整性或安全性,或破解平臺與平臺運行的伺服器之間的任何資料傳輸;
您不得從平臺收集或獲取包括帳戶名稱在內的任何個人身分資料;
o 同意根據 Aider 私隱條例的指引,授權 Aider 與任何協力廠商共用您的資訊及/或受允許的資訊;
o 服務不能被用於任何非法目的,包含但不限於(i) 違反適用法規; (ii) 儲存或寄送任何非法物品; (iii) 未經同意分享他人之敏感個資 (iv) 造成故意傷害、滋擾、不便或困擾; (v) 癱瘓或損害服務的正常運行; (vi) 意圖冒充他人,以及 (vii) 未經Aider許可,複製或散佈服務
5. 報酬與支付
• 報酬由老闆在發佈任務時設定。
• 本公司可能提供通過協力廠商支付處理商的線上支付服務。所有支付行為均受該協力廠商之條款及隱私政策規管。
• 在承包商完成任務並經老闆確認後,報酬將在扣除本公司之平臺服務費(如有)後支付給承包商。
• 雙方應自行注意可能產生的稅務責任,並自行負責申報及繳納根據香港稅務條例(如《稅務條例》)可能適用的任何稅項。
• 關於退款事宜,請參考AIDER 退款政策。
6. 取消與爭議解決
• 如任務開始前需要取消,使用者應儘快透過本 APP 通知對方。
• 對於已完成或進行中的任務所產生的爭議,用戶應首先嘗試友好協商解決。
• 若協商未果,用戶可透過本 APP 的爭議申訴機制要求本公司介入調解。本公司的最終決定對雙方均具有約束力。
• 本公司保留暫停或終止涉及爭議之使用者帳戶的權利,直至爭議解決為止。
7. 責任限制
• 本公司對因使用本 APP 而引致的任何間接、偶然、特殊或後果性損失(包括利潤損失、資料損失)概不負責。
• 本公司對本服務的總體責任(如有)就任何單一事件或一系列相關事件而言,以就該事件向本公司支付之服務費總額為限。
• 本條款受香港法例允許的最大限度規管。
• Aider保留將用戶包含或排除在促銷優惠中的權利;
8. 個人資料(隱私)
• 本公司根據香港法例第 486 章《個人資料(私隱)條例》收集、使用及保護您的個人資料。
• 我們的《隱私政策》說明了我們如何處理您的個人資料,並構成本協議的一部分。請仔細閱讀。
9. 協議修改與終止
• 本公司有權隨時修改本協議。修改後的協議將在本 APP 上公佈。若您於修改後繼續使用本服務,即表示您接受經修改的協議。
• 您或本公司均可根據本 APP 內提供的程式終止您的帳戶。
• 終止後,本協議中依其性質應持續有效的條款(如智慧財產權、責任限制、隱私等)將繼續有效。
10. 管轄法律與爭議解決
• 本協議受香港特別行政區法律管轄並按其解釋。
• 任何因本協議引起的或與其相關的爭議,應首先通過友好協商解決。若協商失敗,雙方同意將爭議提交司法機關進行仲裁。
11. 支付閘道
您可以透過協力廠商支付閘道支付費用。支付的過程受限於協力廠商支付處理商 (「支付處理商」) 的確認。Aider對任何發生於支付處理者一方的錯誤不負任何責任。不論在您使用服務時或使用服務後,Aider對任何未經授權使用您的電子支付閘道的情形不負任何責任。
12. 整體協議
• 本協議連同本 APP 內提及的《隱私政策》《訂單條款及細則》《退款政策》及其他政策,構成您與本公司之間就本服務的完整協定。
如您對本協議有任何疑問,請通過 support@aider.com.hk 與我們聯繫。
如有任何爭議,本公司保留最終決定權。
Part 2: English Version
Important Notice: Please read this agreement carefully.
Welcome to the “Aider” mobile application (hereinafter referred to as “this App”).
This App is provided by [AIDER Helper Software Technology Limited] (hereinafter referred to as “the Company”, “we”, “Aider”). This Service Agreement (hereinafter referred to as “this Agreement”) is a legally binding agreement between you (hereinafter referred to as “User”, “you”) and the Company, governing the terms of your use of this App and its related services (hereinafter referred to as “the Service”).
Before using this App, you must agree to and accept all the terms of this Agreement. If you do not agree to any content of this Agreement, please stop using this App immediately.
If you complete the registration after reading this Agreement, it signifies that:
• You have read and understood the Terms of Use.
• You will comply with the Service Agreement.
• You will comply with all rules and specifications within the Aider App.
• You have reached the legal age of majority in your place of residence and have the legal capacity to enter into a contract.
In these terms, “you” or “your” refers to all individuals and legal entities who access or use the Platform, including but not limited to any organization that registers or otherwise accesses or uses the Platform through a representative or employee (“User”).
In these terms, “Law” refers to all Hong Kong laws, rules, and regulations governing payment and all services provided under these terms.
We reserve the right to revise these terms at any time. If we make revisions, we will notify you by changing the date above these terms, and in some cases, we will provide you with additional notice (e.g., by adding a statement on our homepage or sending an email notification). We recommend that you periodically review these terms and stay informed of our practices. Unless we notify you otherwise, when we revise the terms, the revised terms will take effect immediately upon posting. If you continue to access or use the Platform after the revised terms are posted, it means you have accepted the revised terms.
1. Definitions
• “Boss”: Refers to the user who posts tasks through this App and is willing to pay remuneration in exchange for services.
• “Contractor”: Refers to the user who accepts and completes tasks through this App to receive remuneration.
• “Task”: Refers to the specific job or requirement posted by the Boss through this App.
• “Remuneration”: Refers to the amount the Boss agrees to pay the Contractor upon completion of the task or requirement.
2. Account Registration and Eligibility
• You must be at least 18 years old and have the full legal capacity to enter into a legally binding contract to use this App.
• You need to provide accurate, true, current, and complete information for registration.
• You are responsible for maintaining the confidentiality of your account and password or your third-party platform accounts (e.g., Google, Apple ID, etc.) and are fully responsible for all activities that occur under your account.
• When registering as a Contractor, you must provide your own Hong Kong identity document, and when undertaking a task, you must ensure you possess the requirements under Hong Kong laws and regulations, including but not limited to a work visa or permit from the Hong Kong Immigration Department.
• The account (user ID) you register is for your personal use only. Transferring your account to another person or legal entity is not permitted.
• You cannot use any account other than your own.
• You may only register one account.
3. Nature of Service
• This App serves solely as a neutral online platform facilitating connection and communication between Bosses and Contractors.
• The Company is not the employer, employee, agent, or partner of any Boss or Contractor. The relationship between the Boss and Contractor is a direct service contract.
• The Company does not control, manage, or direct any third-party provider.
• The Company makes no warranties regarding the quality, safety, legality, or accuracy of tasks, nor does it participate in specific transaction disputes between parties, but will provide dispute resolution solutions to assist.
• This App does not control, endorse, or assume responsibility for any third-party content within any licensed content or service. Aider cannot and does not represent or warrant that the Service or servers are free of viruses or other harmful components.
• The Service is provided on an “as is” and “as available” basis. The Company makes no representations or warranties regarding the reliability, timeliness, quality, suitability, or availability of the Service or any other service requested using the Service, and does not warrant that the Service will be uninterrupted or error-free.
4. User Obligations and Code of Conduct
To use the Service, you must register a personal account (“Account”) with Aider. When registering an Account, under the guidance of Aider’s Privacy Policy, you are obliged to provide your personal information, including name and contact information, to Aider directly or indirectly.
When you successfully submit your account registration to Aider, Aider will provide you with the Account, which you can use with a password you set yourself. The Service or Platform may be subject to legal restrictions based on your age in your place of residence. If such circumstances exist, you must comply with the age restrictions and stop using the Service or Platform.
You agree that the information you input and update is accurate, complete, and valid. Aider assumes no legal responsibility for any false, incomplete, outdated, or incorrect information you provide. If you fail to input or update information, causing the information to be inaccurate, incomplete, or invalid, you may be unable to access and use the Service. You are responsible for all activities that occur under your account name. Aider has the right to verify the information you provide at any time and refuse you access to and use of the Service without providing a reason or prior notice.
Whether a Boss or Contractor, you also undertake not to contact each other, directly or indirectly, through channels outside the Platform.
Anyone using the Service must not engage in any threatening, harassing, discriminatory (based on race, gender, age, disability, or any other form), or any other conduct that Aider deems inappropriate.
• Boss undertakes to:
o Ensure the content of the posted task is legal, safe, and clear, and does not involve any violation of Hong Kong law or public order and good morals (e.g., illegal transportation of items, dangerous work, sexual services, or causing danger to others).
o Accurately describe task details, time, location, and remuneration.
o Confirm and pay the agreed remuneration promptly after the Contractor completes the task.
• Contractor undertakes to:
o Possess the necessary skills, qualifications, and physical ability to complete the task.
o Provide services in a professional and diligent manner.
o Not demand payment from the Boss beyond the agreed remuneration.
• All users must:
o Not post false, fraudulent, harassing, or information that infringes on others’ rights.
o Not attempt to bypass the App’s platform for private transactions to avoid fees.
o Not engage in any activity that may damage, disable, or overload the App’s infrastructure.
• You must not use any “deep link”, “page scrape”, “robot”, “spider”, or other automatic device, program, algorithm, or method, or any similar or equivalent manual process, to access, acquire, copy, or monitor any part or content of the Platform, or in any way reproduce or circumvent the navigation structure or presentation of the Platform or any content, or obtain or attempt to obtain any materials, documents, or information through any means not intentionally made available through the Platform. Aider reserves the right to prohibit such activities.
• You must not attempt to interfere with, compromise the system integrity or security, or decipher any transmissions to or from the servers running the Platform.
• You must not collect or obtain any personally identifiable information, including account names, from the Platform.
o Agree, under the guidance of Aider’s Privacy Policy, to authorize Aider to share your information and/or permitted information with any third party.
o The Service cannot be used for any unlawful purpose, including but not limited to (i) violating applicable laws or regulations; (ii) storing or sending any illegal items; (iii) sharing another person’s sensitive personal data without consent; (iv) causing intentional harm, nuisance, inconvenience, or distress; (v) disabling or impairing the proper operation of the Service; (vi) attempting to impersonate another person; and (vii) copying or distributing the Service without Aider’s permission.
5. Remuneration and Payment
• Remuneration is set by the Boss when posting the task.
• The Company may provide online payment services through third-party payment processors. All payment activities are governed by the terms and privacy policies of such third parties.
• After the Contractor completes the task and the Boss confirms it, the remuneration will be paid to the Contractor after deducting the Company’s platform service fee (if any).
• Both parties are responsible for being aware of potential tax liabilities arising from their activities and are solely responsible for declaring and paying any applicable taxes under the Hong Kong Inland Revenue Ordinance (e.g., the Inland Revenue Ordinance).
• Regarding refunds, please refer to AIDER’s Refund Policy.
6. Cancellation and Dispute Resolution
• If cancellation is required before a task starts, users should notify the other party through this App as soon as possible.
• For disputes arising from completed or ongoing tasks, users should first attempt to resolve them amicably through negotiation.
• If negotiation fails, users may request the Company’s intervention for mediation through this App’s dispute resolution mechanism. The Company’s final decision shall be binding on both parties.
• The Company reserves the right to suspend or terminate the accounts of users involved in a dispute until the dispute is resolved.
7. Limitation of Liability
• The Company is not liable for any indirect, incidental, special, or consequential losses (including loss of profits or data) arising from the use of this App.
• The Company’s total liability for the Service (if any) for any single event or series of related events is limited to the total service fees paid to the Company in connection with that event.
• This clause is governed by the maximum extent permitted by Hong Kong law.
• Aider reserves the right to include or exclude users from promotional offers.
8. Personal Data (Privacy)
• The Company collects, uses, and protects your personal data in accordance with the Personal Data (Privacy) Ordinance (Chapter 486 of the Laws of Hong Kong).
• Our Privacy Policy explains how we handle your personal data and forms part of this Agreement. Please read it carefully.
9. Agreement Modification and Termination
• The Company has the right to modify this Agreement at any time. The modified agreement will be posted on this App. If you continue to use the Service after the modification, you signify your acceptance of the modified agreement.
• Either you or the Company may terminate your account according to the procedures provided within this App.
• Upon termination, clauses that by their nature should survive (such as intellectual property, limitation of liability, privacy, etc.) will continue to be effective.
10. Governing Law and Dispute Resolution
• This Agreement shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region.
• Any dispute arising out of or relating to this Agreement shall first be resolved through amicable negotiation. If negotiation fails, both parties agree to submit the dispute to a judicial body for arbitration.
11. Payment Gateway
You can pay fees through third-party payment gateways. The payment process is subject to confirmation by the third-party payment processor (“Payment Processor”). Aider is not responsible for any errors occurring on the part of the Payment Processor. Aider is not responsible for any unauthorized use of your electronic payment gateway, whether during or after your use of the Service.
12. Entire Agreement
• This Agreement, together with the Privacy Policy, Order Terms and Conditions, Refund Policy, and other policies mentioned within this App, constitutes the entire agreement between you and the Company regarding the Service.
